Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the VinScan Pro mobile application and web platform (collectively, the “Service”), operated by Vadim Liakhov as a sole proprietor based in Ontario, Canada (“VinScan Pro,” “we,” “our,” or “us”).

By creating an account or using the Service you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

VinScan Pro provides a Bluetooth OBD2 scanning tool for independent automobile dealers. The Service reads vehicle diagnostic data (Diagnostic Trouble Codes, readiness monitors, VIN), sends that data to our servers for AI-powered analysis, and generates shareable PDF condition reports. The Service is intended for commercial use by businesses, not individual consumers.

2. Accounts

You must provide accurate information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at support@vinscanapp.com if you believe your account has been compromised.

You may not share your account credentials with individuals outside your dealership or create accounts on behalf of others without their knowledge.

3. Subscription and Billing

Base plan — your monthly subscription of $299 CAD includes one Bluetooth OBD2 scanner device and one user account. Pricing is in Canadian dollars and subject to applicable taxes.

Additional appraiser seats — each additional appraiser seat is billed at $99 CAD per month and includes a Bluetooth OBD2 scanner for that appraiser. Seats may be added or removed at any time from your account settings.

Refunds — subscription fees are non-refundable. You may cancel at any time to stop future charges, and you retain access through the end of the billing period you have already paid for. We do not provide partial or pro-rated refunds for unused time. This does not limit any rights you may have under applicable law.

Cancellation — you may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period; you retain access until then. We do not charge cancellation fees.

Payments are processed by Stripe. We do not store your card number, CVV, or other raw payment card data on our servers. By subscribing you authorize us to charge your payment method on a recurring monthly basis until you cancel.

4. Scanner Hardware

Your base plan includes one Bluetooth OBD2 scanner, shipped to you at no additional charge. The scanner is yours to keep. You are not required to return it if you cancel your subscription.

The Service requires a compatible Bluetooth OBD2 adapter. The scanner we provide has been tested and verified against the Service. Other third-party adapters may function but are not supported, and we cannot guarantee scan accuracy or connection reliability with untested hardware.

Scanner hardware is covered by the manufacturer’s warranty where applicable. Replacement scanners are available on request; contact support@vinscanapp.com.

5. Acceptable Use

You agree not to:

• •Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
• •Attempt to reverse-engineer, decompile, or otherwise derive the source code of the Service.
• •Scan vehicles without the permission of the vehicle owner or their authorized representative.
• •Use the Service to misrepresent vehicle condition to third parties.
• •Resell, sublicense, or otherwise commercialize the Service or scan reports without our prior written consent.
• •Interfere with or disrupt the integrity or performance of the Service or its infrastructure.

6. Estimates, Reports, and Limitations

Repair estimates and vehicle valuations generated by VinScan Pro are estimates only. They are not professional mechanical inspections, warranties, guarantees, or appraisals.

Repair cost estimates are based on national average labor rates and parts costs derived from third-party data sources and AI analysis. Actual repair costs may differ materially depending on location, shop rates, parts availability, and the specific condition of the vehicle. Wholesale valuation estimates are similarly approximate and should not be used as the sole basis for a purchase or sale decision.

VinScan Pro does not warrant that OBD2 scan results are complete or that all vehicle faults will be detected. Some faults may not generate diagnostic codes. Cleared-code detection is based on readiness monitor analysis and is not infallible. You remain responsible for conducting independent due diligence before purchasing any vehicle.

PDF condition reports generated by the Service are provided as informational tools for use in trade-in negotiations. They are not certified mechanical inspections and should not be represented as such to buyers, sellers, or any other party.

7. Intellectual Property

All software, content, trademarks, and materials comprising the Service are the property of VinScan Pro or its licensors. These Terms do not grant you any ownership rights in the Service. You retain ownership of your dealership’s scan data and may export it at any time.

8. Data and Privacy

Our collection and use of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service you consent to the data practices described in the Privacy Policy.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VINSCAN PRO AND ITS OPERATOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO LOSSES ARISING FROM VEHICLE PURCHASE DECISIONS MADE IN RELIANCE ON SCAN RESULTS OR REPORTS GENERATED BY THE SERVICE.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO VINSCAN PRO IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless VinScan Pro and its operator from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

12. Modifications to the Service and Terms

We reserve the right to modify or discontinue the Service (or any part of it) at any time with reasonable notice. We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date above and, where appropriate, notify active subscribers by email. Your continued use of the Service after changes take effect constitutes your acceptance of the updated Terms.

Subscription pricing changes will be communicated at least 30 days in advance and will take effect at the start of your next billing period.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Ontario, Canada.
